One-time, non exclusive reproduction rights to the images agreed upon, solely for the uses
and specifications indicated; and limited to the individual edition, volume, series, show, event, or the like
contemplated for this specific transaction (unless otherwise indicated in writing).
1)Except where outright purchase is specified, all photographs, digital images, photographic images and rights
not expressly granted remain the exclusive property of Stephen Brunson Images/Stephen M. Brunson/www.BrunsonImages.com without limitation.
2)Adjacent credit line for Stephen Brunson Images/Stephen M. Brunson/www.BrunsonImages.com, and the copyright credit line (Year of
First Publication) Stephen Brunson Images/Stephen M. Brunson/www.BrunsonImages.com must accompany each use, or ordering price will be tripled.
3)Client will indemnify Stephen Brunson Images/Stephen M. Brunson/www.BrunsonImages.com against all claims, liability, damages, costs,
and expenses, including reasonable legal fees and expenses, arising out of the use of any photograph(s) or image(s) unless a model or other
release was specified to exist in writing by Stephen Brunson Images/Stephen M. Brunson/www.BrunsonImages.com. Unless so specified no release
exists. Stephen Brunson Images/Stephen M. Brunson/www.BrunsonImages.com's liability for all claims shall not exceed, in any event, the amount paid
under the ordering price.
4)Client shall provide three (3) free copies of uses appearing in print and a semi-annual statement of sales and subsidiary uses for photographs
and images appearing in books, magazines or periodicals.
5)Client may not assign or transfer this agreement or any rights granted herein. Holding or use of the photograph(s) and image(s) constitutes
acceptance of the above terms, which incorporates by reference Article 2 of the Uniform Commercial Code and the Copyright Act of 1976, as ammended.
No ammendment or waiver is binding unless set forth in writing and signed by the two (2) parties.
6)Any dispute regarding the terms and conditions, including its validity, interpretation, performance, or breach shall be arbitrated in San Diego,
California under the rules of the American Arbitration Association and the laws of California. Judgement on the arbitration award may be entered in the
highest Federal or State Court having jurisdiction. Any dispute involving five hundred dollars ($500.00) or less may be submitted, without arbitration,
to any court having jurisdiction thereof. User shall pay all arbitration and court costs, reasonable legal fees and expenses, plus legal interest on any
award or judgement.
